VIZYPAY WEBSITE TERMS OF USE

1. Acceptance
These Terms of Use (these “Terms”) govern your access to and use of the websites operated by VizyPay, LLC, an Iowa limited liability company (“VizyPay”, “we”, “us”), including vizypay.com and its subdomains (the “Site”). By using the Site you accept these Terms. If you do not agree, do not use the Site.
2. What These Terms Do Not Cover
These Terms govern the Site only. Merchant payment processing services are governed exclusively by the VizyPay Agreement and related program documents between VizyPay and the merchant, not by these Terms. VizyPay software applications are governed by their own license agreements. The Vexis platform is governed by its own terms of use. If there is a conflict between these Terms and any of those agreements, the applicable agreement controls for its subject matter. VizyPay’s Independent Software Vendor Platform Terms of Service, where applicable, are governed by their own terms and are not covered by these Terms.
3. Informational Content Only
Site content is provided for general informational purposes. It is not legal, financial, tax or professional advice, and it is not an offer capable of acceptance. Pricing, savings figures, program descriptions and product availability are subject to change and to the terms of the applicable agreement. Savings and results described on the Site are illustrative and are not a guarantee of any particular outcome.
4. Permitted Use
You may use the Site for lawful purposes only. You must not: (a) scrape, harvest or systematically extract Site content or data; (b) interfere with the Site's operation or security; (c) misrepresent your identity or affiliation; (d) upload malicious code; or (e) use the Site to violate any law or third-party right.
5. Intellectual Property
The Site and its content, including text, graphics, logos, images, video and software, are owned by VizyPay or its licensors and protected by intellectual-property laws. VizyPay, Vexis and related marks and logos are trademarks of VizyPay, LLC. No license is granted except the limited right to view the Site for its intended purpose.
6. Submissions
If you submit information through the Site (for example, a contact or information-request form), you represent the information is accurate and yours to provide. Our collection and use of personal information is described in our Privacy Policy. Unsolicited ideas or suggestions submitted through the Site may be used by VizyPay without restriction or obligation. If you provide your phone number or email address through a form on the Site, you agree that VizyPay may contact you at the phone number or email address about VizyPay’s products and services, including by email, phone call or text message, which may be sent using an automatic telephone dialing system or prerecorded voice. Consent to receive marketing communications is not a condition of using the Site or purchasing any product or service. You may opt out of marketing communications at any time by following the unsubscribe instructions in an email, replying STOP to a text message or contacting us as described in Section 12. Message and data rates may apply. Service or transactional communications necessary to respond to your inquiry are not affected by a marketing opt-out.
7. Third-Party Links
The Site may link to third-party websites. Those sites are governed by their own terms and privacy policies, and VizyPay is not responsible for them.
8. Disclaimer of Warranties
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, VIZYPAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VIZYPAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SITE, AND VIZYPAY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
10. Indemnity
You will indemnify and hold harmless VizyPay and its officers, directors, employees and agents from claims arising out of your violation of these Terms or your misuse of the Site.
11. Changes; Governing Law; Venue
VizyPay may update these Terms at any time by posting the updated version with a new “Last updated” date. These Terms are governed by Iowa law, and any dispute relating to the Site will be brought exclusively in the state courts located in Dallas County, Iowa, or the United States District Court for the Southern District of Iowa (located in Des Moines, Iowa).
12. Affiliates
References to “VizyPay” in these Terms include VizyPay, LLC and its current and future parent, subsidiary and affiliated entities, to the extent such entities operate, support or make available the Site.
13. Supplemental Terms
VizyPay may publish additional terms applicable to specific products, programs or features referenced on the Site (“Supplemental Terms”). Supplemental Terms are incorporated into, and govern in addition to, these Terms with respect to the product, program or feature to which they apply. If a conflict exists between these Terms and Supplemental Terms, the Supplemental Terms control solely with respect to that product, program or feature.
